Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and PrimeGraph, Inc. (“PrimeGraph”, “we”, “us”), a Delaware C Corporation with its registered address at 1111b South Governors Avenue, STE 40586, Dover, DE 19904, United States, phone +1 (302) 520-3583, represented by Andrei Mikhalenia. They govern your use of the website at primegraph.ai and the PrimeGraph application (together, the “Service”). By creating an account or using the Service you accept these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to bind it.
1. The Service
PrimeGraph is a graph-based development platform. You describe a system as connected architecture graphs; the Service validates them, compiles them into source code in the supported languages, and can deliver the result to repositories and cloud projects you connect. The Service is under active development and features may change, be added, or be removed.
2. Eligibility and accounts
You must be at least 16 years old and able to enter into a contract. You are responsible for your account credentials and for everything done through your account. Keep your credentials confidential and tell us at andrei@primegraph.ai if you suspect unauthorized use. Project owners decide who may access their projects and with which role, and are responsible for those decisions.
3. Your content
“Your Content” means everything you submit to the Service: graphs, models, configuration, variables, secrets, chat messages, and anything else you upload or create. You retain all rights to Your Content. You grant PrimeGraph a worldwide, non-exclusive, royalty-free license to host, store, process, compile, and transmit Your Content solely to provide and improve the Service, and to the extent instructed by you (for example, to push generated code to your repository or deploy it to your cloud project).
You are responsible for Your Content and confirm that you have the rights needed to submit it and that it does not violate the law or the rights of others.
4. Generated code
Code, packages, and other artifacts the Service compiles from Your Content (“Output”) belong to you. PrimeGraph claims no ownership of Output and you may use, modify, and distribute it without restriction, including after you stop using the Service. Output may include open-source components subject to their own licenses, and runtime helpers PrimeGraph emits into your packages, which are licensed to you without restriction.
Output is produced automatically. You are responsible for reviewing, testing, and operating it, and for the systems you build and deploy with it.
5. Third-party services and integrations
The Service connects to third-party services you choose, such as GitHub, Google Cloud, and Firebase. Your use of those services is governed by their own terms. When you link a cloud project, you authorize PrimeGraph to create the resources described in the Service (for example, a deployer service account with the roles needed to publish) and to act through them on your behalf. You can revoke that access at any time in the Service or in the third-party platform. PrimeGraph is not responsible for the availability, security, or costs of third-party services, including cloud charges incurred by what you deploy.
6. Acceptable use
You agree not to:
- use the Service to build, distribute, or operate anything unlawful, harmful, or infringing;
- attempt to gain unauthorized access to the Service, other accounts, or the projects of others;
- interfere with the Service, circumvent its limits, or place unreasonable load on it;
- reverse engineer the Service except where the law allows it;
- resell or sublicense the Service without our written consent;
- submit malware, or content that violates the rights or privacy of others.
We may suspend or limit access that we reasonably believe violates these Terms.
7. Fees
The Service is currently offered without charge during its pre-release period. We may introduce paid plans; if we do, pricing and payment terms will be published before they apply to you, and continued use after that date on a paid plan will be subject to those terms.
8. Intellectual property
The Service, including its software, design, documentation, and trademarks, is owned by PrimeGraph and its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are granted to you. Feedback you give us may be used without obligation to you.
9. Privacy
Our Privacy Policy and Cookie Policy explain what personal data we collect and how we use it, including how we handle data received from Google APIs. They form part of these Terms.
10. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may change, suspend, or discontinue any part of the Service. Where reasonably possible, we will give notice of material changes, and you can export your Output and Your Content at any time.
11. Disclaimer of warranties
THE SERVICE AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUT WILL BE CORRECT, SECURE, OR SUITABLE FOR ANY PURPOSE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PRIMEGRAPH AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THAT PERIOD OR ONE HUNDRED US DOLLARS (USD 100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU.
13. Indemnification
You will defend and indemnify PrimeGraph against claims, damages, and expenses (including reasonable legal fees) arising from Your Content, Output you deploy, your use of third-party services through the Service, or your breach of these Terms.
14. Termination
You may stop using the Service at any time and ask us to delete your account. We may suspend or terminate your access for breach of these Terms, for legal reasons, or if we discontinue the Service, with notice where reasonably possible. On termination your right to use the Service ends; sections that by their nature should survive (including 3, 4, 8, 11, 12, 13, and 15) survive.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Courts located in Delaware have exclusive jurisdiction over disputes arising from these Terms, and you consent to their jurisdiction, except that either party may seek injunctive relief in any competent court. Mandatory consumer-protection rules of your country of residence are not affected.
16. Changes to these Terms
We may update these Terms. The effective date at the top shows the latest version; material changes will be announced in the Service or by email before they take effect. Continued use after that date means you accept the updated Terms.
